B2B Customer Agreement

This B2B Customer Agreement ("Agreement") governs your use of Supply Solution as a registered business customer. By registering a business account, you accept this Agreement on behalf of your organization.

1. Business Account Registration

To access B2B features, you must register a company account and provide accurate business information including legal business name, business number (BN), and a valid business email address. Redwoodcore INC. reserves the right to verify your business credentials and to approve or reject applications at its sole discretion. Approval typically occurs within 1\u20132 business days.

2. Authorized Representatives

The person registering the account (the "Account Administrator") represents and warrants that they have the authority to bind the organization to this Agreement. The Account Administrator is responsible for all activity on the account, including actions taken by team members and subsidiary accounts.

3. Company Account Features

B2B accounts have access to the following features, subject to eligibility and approval:

  • Company pricing and volume discounts
  • Purchase order (PO) checkout and net payment terms
  • Team member accounts with role-based permissions
  • Subsidiary company management and shared credit pools
  • Approval workflows and spending limits
  • Requisition lists and quote requests
  • Detailed order history and reporting

4. Purchase Orders and Net Terms

  • Net payment terms (Net 15, Net 30) may be offered to qualifying accounts at our sole discretion following credit review.
  • Invoices are due by the stated due date. Late payments may result in suspension of net terms, application of interest at the rate of 2% per month (24% per annum), and/or suspension of the account.
  • Purchase orders must reference a valid PO number. Submission of a PO constitutes a binding commitment to pay.
  • We reserve the right to require prepayment for new accounts or accounts with outstanding balances.

5. Tax Exemptions

If your organization is eligible for tax exemption (e.g., government entities, qualifying non-profits), you must submit a valid exemption certificate before placing exempt orders. Tax exemptions are applied prospectively upon certificate approval and are not applied retroactively.

6. Team Members and Permissions

The Account Administrator may invite team members and assign roles with defined permissions. The Account Administrator is responsible for ensuring that all team member activity complies with this Agreement and applicable law. Team members must be authorized employees or contractors of the registered business.

7. Subsidiary Accounts

Subsidiary companies registered under a parent account must be legitimate legal entities related to the parent organization. Misuse of the subsidiary feature to circumvent credit limits, purchasing controls, or tax obligations is strictly prohibited and may result in immediate account termination.

8. Pricing and Quotations

Prices displayed are subject to change without notice. Quoted prices are valid for the period specified in the quotation. We reserve the right to adjust pricing for errors, cost changes, or supply constraints. Volume pricing agreements must be confirmed in writing.

9. Product Compliance

You are responsible for ensuring that products purchased comply with all applicable laws, regulations, and standards in your jurisdiction, including workplace safety, environmental, and import/export regulations. We make no representation that products are suitable for any specific regulatory environment outside of Canada.

10. Confidentiality

Any pricing, credit terms, or account-specific arrangements disclosed to you are confidential. You agree not to disclose these arrangements to third parties without our written consent.

11. Account Suspension and Termination

We may suspend or terminate your B2B account at any time for:

  • Non-payment or late payment of invoices;
  • Providing false or misleading business information;
  • Breach of this Agreement;
  • Activity that we reasonably believe is fraudulent or harmful.

Upon termination, all outstanding invoices become immediately due and payable.

12. Limitation of Liability

To the maximum extent permitted by law, Redwoodcore INC.'s total liability to your organization for any claim arising under this Agreement shall not exceed the total value of purchases made in the three (3) months preceding the claim. We are not liable for lost profits, business interruption, or consequential damages.

13. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the Province of Quebec. Disputes that cannot be resolved by negotiation shall be submitted to binding arbitration in Quebec in accordance with the rules of the Quebec National Mediation and Arbitration Center (CNMA) before either party may pursue litigation. 14. Entire Agreement

This Agreement, together with our Privacy Policy, Shipping Policy, and Return Policy, constitutes the entire agreement between you and Redwoodcore INC. with respect to your use of the Platform as a business customer.

15. Amendments

Redwoodcore INC. reserves the right to update this Agreement at any time. The version number and effective date at the top of this document identify which version you accepted. Continued use of the platform following notice of an updated Agreement constitutes acceptance of the revised terms.

16. Digital Acceptance

By checking the acceptance box at checkout or during account registration, you confirm that:

  • You have read and understood this Agreement in its entirety;
  • You have the authority to bind your organization to these terms;
  • You agree that this digital acceptance constitutes a legally binding commitment equivalent to a handwritten signature under the laws of Quebec;
  • Your acceptance is recorded with a timestamp and IP address as proof of agreement.

If you do not agree to these terms, you must not use the B2B features of this platform.
