Terms of Use — Consumer (B2C)

Please read these Terms of Use carefully before using Supply Solution. By accessing or using our platform, you agree to be bound by these terms.

1. Acceptance of Terms

By creating an account, placing an order, or otherwise accessing Supply Solution ("Platform"), you ("User") agree to these Terms of Use and our Privacy Policy. If you do not agree, do not use the Platform.

2. Eligibility

You must be at least 18 years of age and a resident of Canada to use this Platform. By using the Platform, you represent and warrant that you meet these requirements.

3. Account Registration

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account at privacy@supplysolution.ca. Redwoodcore INC. is not liable for losses resulting from unauthorized account access caused by your failure to safeguard your credentials.

4. Orders and Payment

All prices are in Canadian dollars (CAD) and include applicable taxes unless otherwise stated.
By placing an order, you make an offer to purchase. We reserve the right to accept or decline any order.
Payment is due at the time of purchase. We accept major credit cards, debit cards, and other payment methods displayed at checkout.
Orders are subject to product availability. If an item becomes unavailable after your order is placed, we will notify you and provide a full refund.

5. Shipping and Delivery

Shipping timelines are estimates only. We are not liable for delays caused by carriers, customs, weather, or other factors beyond our control. Title and risk of loss pass to you upon delivery. Please refer to our Shipping Policy for full details.

6. Returns and Refunds

Our return and refund policy is set out in our Return & Refund Policy. Certain items including custom orders, hazardous materials, and perishables may not be eligible for return.

7. Marketplace Products

Some products on Supply Solution are sold by independent third-party vendors ("Marketplace Vendors"). Redwoodcore INC. acts as a marketplace operator for these transactions and is not the seller of record. Each Marketplace Vendor is responsible for their product listings, descriptions, pricing, and fulfillment. Disputes regarding Marketplace Vendor products should be directed to the vendor in the first instance, with Supply Solution available as a mediator.

8. Prohibited Uses

You agree not to:

Use the Platform for any unlawful purpose or in violation of any applicable law;
Attempt to gain unauthorized access to any part of the Platform;
Submit false, misleading, or fraudulent information;
Resell products purchased as a consumer for commercial purposes without a B2B account;
Use automated tools to scrape, crawl, or extract data from the Platform.

9. Intellectual Property

All content on this Platform, including logos, text, images, and software, is the property of Redwoodcore INC. or its licensors and is protected by Canadian copyright and intellectual property law. You may not reproduce, distribute, or create derivative works without express written permission.

10. Disclaimer of Warranties

The Platform is provided "as is" without warranties of any kind, express or implied, including merchantability or fitness for a particular purpose. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Redwoodcore INC. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including loss of profits, data, or goodwill. Our total liability to you for any claim shall not exceed the amount you paid for the specific transaction giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Redwoodcore INC. and its officers, employees, and agents from any claims, damages, or expenses (including legal fees) arising from your use of the Platform or violation of these Terms.

13. Governing Law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any disputes shall be subject to the exclusive jurisdiction of the courts of Quebec.

14. Consumer Protection

Nothing in these Terms limits any rights you may have under applicable consumer protection legislation, including the Quebec Consumer Protection Act.

15. Changes to Terms

We may update these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a new effective date. Continued use of the Platform after changes constitutes acceptance.
